Simitech Marketplace Apps Terms of Service

These Terms of Service ("Terms") govern the use of software applications ("Apps") provided by Simitech Ltd. through the Atlassian Marketplace. By installing, accessing, or using any Simitech App, you agree to these Terms.

These Terms apply to all applications published by Simitech Ltd. on the Atlassian Marketplace, unless a specific application is accompanied by separate terms.

Subject to compliance with these Terms and any applicable Atlassian Marketplace licensing requirements, Simitech Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to use the Apps solely for your internal business purposes.

The Apps, including all related intellectual property rights, remain the exclusive property of Simitech Ltd. No ownership rights are transferred to you through the use of the Apps.

You may not:

• Copy, modify, distribute, sublicense, lease, or resell the Apps. 
• Attempt to reverse engineer, decompile, or disassemble any portion of the Apps, except where expressly permitted by applicable law. 
• Use the Apps in any manner that violates applicable laws or regulations.

The Apps are designed to operate within Atlassian products and services, including Jira, Confluence, Jira Service Management, Atlassian Government Cloud (AGC), and Atlassian Forge.

Use of Atlassian products remains subject to Atlassian's own terms, policies, and service agreements.

Simitech Apps are designed to operate within Atlassian infrastructure.

Unless explicitly stated otherwise for a specific App:

• Simitech Apps do not store customer Jira data, Assets data, comments, issues, attachments, or user-generated content outside Atlassian services. 
• Data accessed by the Apps is processed solely to provide the functionality of the App. 
• Simitech Apps do not operate external application servers that process customer content.

Support is provided through the Simitech Support Portal.

Support is provided on a commercially reasonable effort basis and no specific response times are guaranteed unless otherwise agreed in writing.

While Simitech strives to provide reliable Apps, uninterrupted availability is not guaranteed.

The Apps may be modified, updated, suspended, or discontinued at any time, including for maintenance, security, compliance, or operational reasons.

THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMITECH LTD. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMITECH LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION.

SIMITECH LTD.'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE APPS SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE APPLICABLE APP DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Your right to use the Apps automatically terminates if:

• Your Atlassian Marketplace license expires or is terminated. 
• You violate these Terms. 
• Simitech discontinues the applicable App. 

Upon termination, you must cease using the affected App.

Simitech Ltd. may update these Terms from time to time. Updated versions will be posted on this website and become effective upon publication.
